- drafting collaboration/pilot/other complex agreements with NM's third-party collaborators
- providing legal advice regarding new product development and US and international regulation of AI/SaMD
- advising business team regarding intellectual property rights and assisting with filing and prosecution of patents
- drafting and negotiating data licensing and use agreements
- counseling business team on digital health initiatives
- supporting data governance and healthcare privacy infrastructure as they relate to digital health initiatives, product development and transactions.
- Advice and Counsel - Provide legal advice and counsel regarding health care and general corporate legal issues affecting all areas of the NMHC system's operation, including academic affiliations, antitrust, community affairs, construction contracts, not-for-profit corporate governance, disability laws, employment laws/benefits, gift agreements, information technology, intellectual property, internal investigations, litigation, medical staff credentialing, patient care and medico-legal issues including mental health law, payers, plans and managed care, physician practice plans, real estate, regulatory compliance, reimbursement, tax exemption, and the broad range of regulatory matters affecting health care institutions.
- Corporate Transactions - Assist on corporate transactions, including strategy development, negotiation and drafting of necessary documents.
- Regulatory Matters - Review, analyze and counsel regarding federal and state legislation (and governmental and judicial interpretations thereof) relevant to NM operations including, but not limited to, Medicare and Medicaid, Stark, Anti-Kickback, antitrust, Internal Revenue Code, ERISA, Insurance and Licensure.
- Contract Drafting, Review and Negotiation - Review and draft a wide variety of contracts and other documents relating to all areas of the NMHC system's operation. Often involves active participation in the negotiation process.
- Managed Care - Assist in review and negotiation of managed care contracts and provide ongoing counsel for such contracts and strategies.
- Legal Research - Conduct legal research and prepare legal memoranda on the wide variety of issues described above.
- Policy Review - Review and comment on hospital administrative policies.
- Committee Participation - Participate and provide legal advice to various committees and task forces that address various issues including, without limitation, bylaws, patient care, medical records, medical staff, and regulatory matters.

- Ten (10) plus years of relevant law firm or in-house legal experience in intellectual property, medical device regulatory, and health care tech transfer and an Illinois law license are required
- Experience in the areas of general health care regulatory matters, managed care, corporate finance, not-for-profit corporate transactions, and complex contracts is desired.
- Prior law firm and/or in-house experience is also desired.
