- Document Preparation and Review: Drafts, edits, and reviews a wide range of corporate documents, including resolutions, unanimous written consents, memoranda and related documents. Ensures compliance with internal policies and legal standards.
- Corporate Governance: Maintains and organizes corporate records, including minute books, bylaws, resolutions and NYSE filings in support of the Corporate Secretary. Works closely with the legal team to prepare documentation for board and shareholder meetings and prepares meeting agendas and minutes.
- Subsidiary Management: Maintains the corporate existence, board processes, and compliance of the corporation's subsidiaries in federal, state and foreign jurisdictions.
- Section 16 Filings: Prepares Forms 3, 4 and 5 filings for Section 16 directors and officers and coordinates compliance with the corporation's Insider Trading Policy and Stock Ownership Guidelines. Maintains EDGAR codes for Section 16 directors and officers.
- Other Regulatory Filings: Monitors and assists in the preparation and filing of regulatory documents with appropriate governmental agencies for corporation and its subsidiaries, ensuring compliance with all applicable laws and regulations.
- Interdepartmental Collaboration: Acts as a liaison between the legal department and other business units to ensure that corporate formation and governance policies are effectively communicated. Collaborates on cross-functional projects that require legal insights.
- Compliance: Assists in the implementation and maintenance of compliance programs, including tracking regulatory changes affecting corporate governance and drafting necessary updates to policies and procedures.
- Continuous Improvement: Stays informed of industry trends and best practices in corporate law and paralegal resources. Recommends improvements to processes within the legal department to enhance efficiency and effectiveness.
- Bachelor's degree or paralegal certification from an accredited institution.
- A minimum of eight (8) years of experience working as a paralegal in a corporate legal department or law firm, with a focus on Section 16 reporting, corporate governance, subsidiary management and compliance matters.
- Comprehensive understanding of corporate law and regulatory frameworks with the ability to interpret legal documents and provide actionable recommendations.
- Exceptional organizational skills and meticulous attention to detail, with experience managing multiple priorities and meeting tight deadlines.
- Proficient in the use of legal databases, document management systems, and office productivity software such as Microsoft Office Suite (Outlook, Word, Excel, PowerPoint).
- Experience using Diligent, LawVu and Workiva or similar software packages.
- Excellent interpersonal and communication skills, both written and oral, with the ability to effectively communicate complex legal information to non-legal team members.
- Self-motivated with a strong work ethic and the ability to work independently as well as collaboratively in a team-oriented environment.
- Must be a U.S. citizen with no dual citizenship.
