Through its Restaurant Brands for Good framework, RBI is improving sustainable outcomes related to its food, the planet, and people and communities.Job Overview:The Counsel, Corporate Securities will be responsible for providing legal support for our global entities, in addition to working closely with the finance team, including tax, treasury, and accounting, as well as in connection with corporate governance and public company reporting. The individual will be responsible for drafting, reviewing and negotiating documentation for various financing, acquisition and other corporate transactions, as well as preparing presentations for the leadership team and the board regarding legal trends and best practices for corporate governance. The Counsel, Corporate Securities reports directly to the Vice President, Legal, Corporate.Why this role is important:At RBI we are a growth company with ambitious goals. The Counsel, Corporate Securities will provide legal support and guidance .Responsibilities:· Assist with Board and Committee materials and compliance with applicable requirements, including preparation of board materials, minutes and governance policy updates· Provide oversight on corporate entity filings and management, including in connection with global corporate restructuring transactions· Provide legal support for financing and other treasury activities, including amendments to credit facilities, issuance/redemption of corporate bonds, and internal financing arrangements· Provide legal support to the corporate development function, including support of due diligence, transaction negotiation and drafting, legal and integration support for mergers, acquisitions, and other investments· Support the preparation of securities filings, including 10-Ks, 10-Qs, 8-Ks Section 16 filings and proxy statementsQualifications:· JD, LL.B or equivalent;· 3-5 years of legal experience;· Transactional experience with strong drafting and negotiating skills;· Outstanding judgment and ability to approach complex legal scenarios in a thoughtful and analytical fashion· Ability to influence key decisionmakers and break down roadblocks to complex projects· Highly resilient, possessing the tenacity to challenge the status quo· Highly organized and demonstrated ability to work effectively in a fast-paced setting involving multiple projects and competing timelinesRestaurant Brands International and all of its affiliated companies (collectively, RBI) are equal opportunity and affirmative action employers that do not discriminate on the basis of race, national origin, religion, age, color, sex, sexual orientation, gender identity, disability, or veteran status, or any other characteristic protected by local, state, provincial or federal laws, rules, or regulations.
