
Senior Legal Counsel

- Support the North American insurance sales organization and go-to-market efforts by:
- Supporting and advising the insurance sales team on deal structure and contract negotiations, including advising on legal risks and legal liabilities associated with contractual arrangements;
- Representing Nearmap's interests and interfacing directly with opposing counsel and negotiation teams; and
- Providing training to the insurance team in understanding the legal position and risk exposure;
- Draft, review, and negotiate external-facing product and vendor contracts;
- Attend to legal-related external customer support requests and enquiries;
- Identify, assess, and mitigate legal risk associated with new, updated, and/or discontinuation of products, including updating standard terms as needed;
- Ensure compliance with applicable data privacy and other relevant regulations; and
- Collaborate on global legal projects lead by the Deputy General Counsel(s).
- JD or equivalent degree, admitted to the bar, and in good standing or otherwise authorized to practice law in the United States;
- 7+ years legal experience, with a combination of in-house experience (ideally within a SaaS environment) and law firm transactional experience preferred;
- Strong experience in drafting and negotiating complex enterprise contracts, preferably with companies in the insurance industry, including but not limited to software licensing (SaaS - vendor side), licensing arrangements involving artificial intelligence, machine learning and machine derived attributes, and data privacy;
- Ability to operate in a fast-paced work environment and proven ability to address complex problems and business needs while reasonably balancing risk and not compromising on quality or work;
- Must be able to, and be comfortable giving, commercially-focused, pragmatic legal advice in simple to understand language;
- Comfortable managing and responding to messages quickly and balancing multiple deals at one time;
- Strong interpersonal communication skills needed to be an effective business partner;
- Broad commercial and corporate law knowledge with a strong background of intellectual property law in a technology context, licensing, SaaS, revenue recognition, and privacy;
- Able to handle matters with minimal supervision;
- Able to work and act decisively in a fast-paced, time critical environment while balancing risks; ;
- Openness to adapting practice in response to a fluid and expanding product roadmap and company initiatives; and
- Proficient in MS Office suite of products and experience with systems such as Salesforce, Conga, JIRA, and Slack preferred.
