Job Description:A mid-szied Seattle law firm is looking to add a Business Attorney to their Transactional group. This position focuses on mergers and acquisitions, corporate governance, and entity formation, offering an excellent opportunity to work with private companies and dynamic business transactions.   • Draft and review disclosure schedules, purchase agreements, and other M& A-related documents.
  • Prepare and finalize corporate formation and entity structuring documents, including those for LLCs.
  • Provide strategic legal advice and guidance to private companies on corporate governance matters.
  • Manage and oversee mergers, acquisitions, and divestitures from initiation to completion.
  • Collaborate with clients and internal teams to ensure compliance with applicable laws and regulations.
  • Negotiate terms and conditions of contracts and agreements with stakeholders.
  • Conduct detailed research to support legal strategies and decision-making.
  • Ensure proper documentation and filing for all corporate transactions.
  • Develop and maintain strong client relationships to foster ongoing partnerships.
  • Stay updated on legal trends and changes impacting corporate law practices.
