- Prepare and proof quarterly agendas and minutes; draft documents as necessary; communicate with presenters and authors of materials; calendar meetings; create surveys; route documents for signature.
- Create electronic files and manage data to ensure databases and spreadsheets are accurate and current, including verifying, entering, updating, and compiling data when required.
- Research projects and respond to information requests.
- Assist with maintaining SharePoint sites, libraries, and forms for accuracy and ease of access, including assistance with management of internal mailing lists and security permissions.
- Scan, upload, file, and organize documents in our entity repositories; calendar entity-related deadlines; and coordinate mailing of sensitive documents.
- Support internal and external information requests, including for vendor KYCs and client RFPs.
- Build out entity management system: support with training users and managing system, such as data entry and configuration management including organizing, reviewing, maintaining and auditing relevant records and processes on a regular basis.
- Assist with annual general meetings and board meetings; prepare notices, materials, and/or agendas as needed
- Draft and prepare entity governance documents such as but not limited to consents, resolutions, minutes, POAs, intercompany agreements, organizational charts and formation documents; officer and director onboarding and offboarding and processing other regulatory requirements.
- Review entity organizational documents and draft certificates certifying same
- Respond to regulatory inquiries, audits and third-party requests for information
- Detect, resolve, and prevent compliance deficiencies and regulatory risks
- Evolve, maintain, and update compliance databases including minute book maintenance
- Timeline management and calendaring
- Attend meetings related to entities
- Manage Governance team inbox, including but not limited to: Serve as a first line liaison to company personnel and external parties throughout the globe for general questions and requests related to corporate governance on a timely basis and organizing emails for future reference and recordkeeping.
- Assist with data entry on trackers and databases; draft and edit documents; scan, upload, file, and organize documents; communicate with shareholders; partner with the Finance and HR departments primarily, and other departments as needed, to support the development, implementation, and completion of various shareholder processes.
- Research and compile data to respond to information requests.
- Assist with maintaining SharePoint sites, document libraries, and forms for accuracy and ease of access, including assistance with management of internal mailing lists and security permissions.
- Identify opportunities to continuously improve and document processes for the team, while also adhering to Operational Risk Management and Data Protection and Privacy objectives of the department
- Create electronic files and manage data, databases, checklists and spreadsheets, including verifying, entering, updating, and retrieving data when required for additional governance team activities as may arise, such as supporting task forces, team meetings, retreats, conference attendance, etc.
- Support tracking of invoices and expense reports on Concur.
- Coordinate physical and digital signatures with company officers, when necessary.
- Other duties to carry out the goals of the Governance team, as assigned.
- Minimum 3+ years of applicable experience.
- Bachelor’s Degree.
- Demonstrated ability to work in a confidential office environment with access to sensitive materials and information.
- Strong attention to detail and accuracy are essential
- Strong organizational skills, with ability to handle multiple priorities and reliably meet expected deadlines
- Highly proficient in Microsoft Word, Excel, PowerPoint, Outlook, and Adobe Acrobat Pro
- Excellent verbal/written communication skills
- Ability to work both independently and in a team environment
- Resourceful, flexible, and with a desire to learn
- Must be located, or willing to relocate, to the Seattle area.
- Prior experience managing small to mid-size projects.
- Prior experience working with entity management software.
- Prior experience as Administrator in SharePoint and Microsoft Office 365.
- Prior experience working on Board of Director meetings and/or with subsidiary data management
