Job Description:Position OverviewInternational Motors is seeking a Senior Paralegal.We are seeking a highly skilled and motivated paralegal to join our dynamic in-house legal counsel team. As an integral part of our organization, the candidate will be responsible for supporting multiple lawyers in the following areas: corporate governance (including entity management), mergers and acquisitions, financing, and project management. In addition, the position provides legal assistance to corporate attorneys, acts as liaison between company attorneys, outside counsel, organizations and in-house employees, compiles and analyzes data from legal resource websites and other information sources, and prepares and files legal documents and other reports with appropriate entities, as required.
Responsibilities
  • Perform entity management and ensure best in class corporate governance for domestic and foreign entities and joint ventures and maintain related third-party vendor relationships
  • Prepare annual meeting and other written consents
  • Assist with board and committee meeting preparation and calendar building, including drafting minutes, resolutions, and agendas
  • Assist in coordinating cross-functional teams to manage legal projects
  • Support comprehensive projects by coordinating various business functions during all project phases
  • Assist with and respond to Know Your Client (KYC) requests from internal and external parties
  • Assist with regular, periodic reporting requirements, including but not limited to, corporate entity changes, officer changes, mergers, acquisitions, divestitures and status of certain litigation
  • Support and co-lead internal, related person transaction summary and reporting initiatives
  • Create, manage, update, and distribute company organization charts
  • Assist in conducting a variety of due diligence reviews and providing summaries of the same
  • Assist in the evaluation of the company’s legal entities and prepare and file documents and forms related to forming, dissolving or liquidating entities
  • Collaborate with other departments to fulfill various reporting obligations and file annual reports
  • Communicate with outside counsel and team members to ensure accurate tracking of corporate filing deadlines
  • Assist in managing checklists related to larger corporate transactions, tracking deadlines, and generating a variety of reports
  • Partner with finance team on budget matters, including reviewing and processing payment invoices from outside counsel and resolving discrepancies
  • Maintain certain records and internal files, both hard and electronic copies
  • Assist in a variety of day-to-day activities, including affixing corporate seals, notarizing documents and accepting service of process
  • Collaborate and coordinate cross-functionally with global business partners and legal subject matter leads
Minimum RequirementsBachelor’s degreeAt least 5 years of paralegal experienceORAt least 7 years of paralegal experience
Additional RequirementsQualified candidates, excluding current employees, must be legally authorized on an unrestricted basis (US Citizen, Legal Permanent Resident, Refugee or Asylee) to be employed in the United States.
