Responsibilities
- Perform entity management and ensure best in class corporate governance for domestic and foreign entities and joint ventures and maintain related third-party vendor relationships
- Prepare annual meeting and other written consents
- Assist with board and committee meeting preparation and calendar building, including drafting minutes, resolutions, and agendas
- Assist in coordinating cross-functional teams to manage legal projects
- Support comprehensive projects by coordinating various business functions during all project phases
- Assist with and respond to Know Your Client (KYC) requests from internal and external parties
- Assist with regular, periodic reporting requirements, including but not limited to, corporate entity changes, officer changes, mergers, acquisitions, divestitures and status of certain litigation
- Support and co-lead internal, related person transaction summary and reporting initiatives
- Create, manage, update, and distribute company organization charts
- Assist in conducting a variety of due diligence reviews and providing summaries of the same
- Assist in the evaluation of the company’s legal entities and prepare and file documents and forms related to forming, dissolving or liquidating entities
- Collaborate with other departments to fulfill various reporting obligations and file annual reports
- Communicate with outside counsel and team members to ensure accurate tracking of corporate filing deadlines
- Assist in managing checklists related to larger corporate transactions, tracking deadlines, and generating a variety of reports
- Partner with finance team on budget matters, including reviewing and processing payment invoices from outside counsel and resolving discrepancies
- Maintain certain records and internal files, both hard and electronic copies
- Assist in a variety of day-to-day activities, including affixing corporate seals, notarizing documents and accepting service of process
- Collaborate and coordinate cross-functionally with global business partners and legal subject matter leads
