(Chicago, Jacksonville, Milwaukee, Salt Lake City, San Francisco, Silicon Valley, or Tampa)Direct Counsel is seeking a Capital Markets Associate to join a leading national law firm with a strong Capital Markets & Public Company Advisory practice. This group provides ongoing U.S. Securities & Exchange Commission (SEC) counsel and related capital markets services to companies ranging from large public corporations to cutting-edge growth companies preparing to go public.Responsibilities:Advise clients on a variety of capital markets transactions and securities law compliance matters.Provide counsel on SEC disclosure and reporting obligations, fiduciary duty issues, and corporate governance matters.Draft and review offering documents, filings, and related transaction materials.Work directly with partners and clients to manage complex transactions.Support client relationships and contribute to business development initiatives.Qualifications:JD from an ABA-accredited law school.3–6 years of relevant experience in capital markets and public company advisory work.Active membership in good standing with at least one U.S. state bar; admission to the bar of the office location (or eligibility for timely admission) required.Strong drafting, communication, and client management skills.Ability to thrive in a fast-paced, collaborative environment with a positive, team-oriented attitude.Compensation & Benefits:Salary range: $260,000 – $390,000 , commensurate with experience.Comprehensive benefits package, including medical, dental, vision, life, and disability insurance, 401(k) retirement plan, adoption assistance, and dependent care support.This is an excellent opportunity for a mid-level associate seeking to build a long-term career in capital markets within a highly regarded firm that values collaboration, intellectual curiosity, and professional growth.
