- Manage the governance structures of a large portfolio of legal entities, including directors, officers, and ownership structures
- Monitor, manage, and track regulatory filings, including annual returns and reports and other filings as required for all legal entities, including US and Canadian entities
- Draft governance documentation, including organizational documents for various types of legal entities
- Draft consent resolutions and minutes of board and committee meetings
- Maintain all company and subsidiary corporate records
- Form new entities as required
- Dissolve, merge, and amalgamate, as appropriate, entities in the corporate structure
- Ensure adherence to all relevant laws, regulations, and reporting requirements of each legal entity in the company's structure
- Monitor and ensure compliance with legislation and regulations that impact the company
- Maintain up-to-date corporate structure charts
- Maintain, distribute, and manage Director & Officer Questionnaires annually
- Respond to requests for entity information
- Support corporate transactions, such as mergers, acquisitions and dispositions
- Support the interim and annual audit processes conducted by the company's auditors
- Maintain litigation summary for company, including quarterly updates for board meetings
- Oversee registered agent (CSC) updates and communications
- Assist with credit facility matters, including mortgage releases, as applicable
- Support the Alterra Mountain Company Community Foundation on governance matters
- Other duties as assigned
- A minimum of 10+ years of continuous experience working in corporate governance
- In-depth knowledge of federal, state, and local laws as appropriate
- Comprehensive knowledge of corporate governance matters, including board governance, and understanding various corporate structures and governance documentation
- Outstanding organizational skills, particularly in managing a large portfolio of legal entities
- Strong planning and organizational skills to ensure future deadlines and project milestones are consistently met
- Excellent communication, negotiation, and interpersonal skills
- Ability to handle sensitive and confidential information with discretion
- Strong problem-solving and decision-making skills
- Self-motivated, with the ability to work independently and collaboratively in a fast-paced environment
- Passion for the outdoors, skiing, and the recreational industry is a bonus
- Professional/lived experience working in a culturally competent manner with a broad range of people.
- Undergraduate diploma
- Paralegal Certificate and/or law degree from an accredited university
- Certified Corporate Governance Professional certificate is an asset
