  • Draft, review, and manage a wide variety of contracts, including NDAs, vendor agreements, and service contracts.
  • Support corporate governance activities, including drafting board and shareholder meeting minutes, resolutions, and otherwise maintaining corporate records.
  • Prepare draft response(s) to customer complaints and regulatory inquiries.
  • Maintain legal files, databases, and entity management systems; handle corporate filings and annual reports across multiple jurisdictions.
  • Schedule meetings, coordinate correspondence, and serve as a liaison between the legal department, internal teams, and outside counsel.
  • Conduct legal research, prepare summaries or recommendations, and assist with discovery, fact investigation, and document preparation.
  • Prepare affidavits, and conduct initial interviews with relevant parties to gather information concerning potential and active litigation matters.
  • Support due diligence activities for litigation matters, corporate transactions, financing, and audits.
  • Develop and maintain legal policies, processes, and templates to ensure efficiency and compliance.
Minimum Qualifications:
  • Bachelor’s degree required; paralegal certification strongly preferred.
  • 4+ years of paralegal experience, ideally in a corporate legal department.
  • Strong understanding of corporate governance, compliance, and contract management.
  • Experience supporting general civil litigation matters, and corporate transactions is a plus.
  • Exceptional organizational skills with strong attention to detail.
  • Ability to handle multiple projects and prioritize in a fast-paced, dynamic environment.
  • Excellent written and verbal communication skills.
  • High level of integrity, discretion, and professionalism.
