A global provider of technology and equipment solutions serving aerospace, defense, communications, automotive, energy, and education industries is seeking a Vice President / General Counsel. With decades of success, the company continues to expand as a one-stop solutions provider, delivering critical support to innovators worldwide.Position Summary
The VP / General Counsel will lead the legal department and oversee all aspects of legal operations, including transactional work, corporate governance, intellectual property, compliance, and litigation. This role reports directly to the CEO, Americas, and is based in West Hills, CA. The ideal candidate has significant in-house counsel experience, strong business acumen, and the ability to work effectively both independently and collaboratively.Key Responsibilities
- Draft, review, and negotiate a variety of contracts (NDAs, vendor, service, and consulting agreements).
- Manage corporate governance, including board and committee materials, corporate records, and secretarial functions.
- Oversee litigation and discovery, coordinate with outside counsel, and ensure deadlines are met.
- Provide guidance on intellectual property matters, including trademark and copyright registrations.
- Support compliance programs (Privacy, GDPR, PCI, FCPA) and maintain compliance logs.
- Advise senior leadership on risk management, regulatory issues, and strategic business initiatives.
- JD or LLB from an accredited U.S. institution; active California Bar license.
- Minimum 10 years of legal experience, with at least 8 years in-house preferred.
- Broad background in corporate governance, contracts, litigation, compliance, and intellectual property.
- Strong business judgment, organizational skills, and attention to detail.
- Excellent written, verbal, and interpersonal communication skills.
- Proficiency with Microsoft Office Suite.
- Must be a U.S. Person as defined under ITAR (U.S. citizen, permanent resident, asylee, or refugee).
- Ability to work onsite in West Hills, CA.
- Ability to sit for extended periods, use computer systems, and occasionally lift up to 10 lbs.
