Join our dynamic legal team in Auburn Hills, MI, where you'll play a pivotal role in providing comprehensive global legal support across a spectrum of areas, from Corporate Governance to Real Estate, and Procurement.About the RoleProvide global legal support in various aspects of the business, including Corporate Governance, Real Estate, Customer Transactions and Procurement.Support the purchasing and real estate organization with supplier contracts, property leases and associated negotiations from time to time.Review and provide counsel regarding terms and conditions for Request for Quotations from current and prospective customers as well as other informal bidding opportunities for customers.Provide legal guidance to the company's operations and account management functions to assist in the resolution of contract issues and disputes.Become thoroughly familiar with the company's customer contracts, services, pricing models and systems.Create, draft and support contracts addenda and templates as needed. Partner with and educate internal customers, including Finance, Business Development, HR and other representatives of the company's business, on issues of legal impact and risk assessment.Supporting corporate governance issues within North and South America, including:
  • Responsibility for the integrity and maintenance of entity management database including annual audits and database updates, ensuring meticulous corporate recordkeeping.
  • Maintaining complete, up-to-date, and accurate documentation relating to the Company's corporate legal entities;
  • Corporate Secretariat responsibilities, including [acting as Company Secretary for select boards], being the key contact and advisor to the Board, assisting with scheduling board meetings and advising directors vis-à-vis the bylaws and/or the company code of the relevant jurisdiction, preparing, updating, and tracking shareholder and board materials (e.g., resolutions, written consents, and meeting minutes) and submitting requisite company filings;
  • Coordination with counsel to ensure compliance requirements are met for international compliance.
  • Establish strong working relationships with the legal managers (or equivalent) in the regional business units to ensure ongoing collaboration in line with Group standards
Providing support with litigation and pre-litigation matters, including general commercial and contract-related disputes as well as employment/benefits issues.Developing and implementing new (improved) corporate policies, legal process improvements, and legal technology enhancements.QUALIFICATIONS
  • J.D. from an ABA-accredited law school [or equivalent, if internal hire].
  • Member in good standing of at least one state bar.
EXPERIENCE
  • 3-5 years of experience with a corporation working on corporate transactions, corporate governance or within a Corporate Secretariat function.
  • Experience working with entity management systems, preferably GEMS software.
  • 3-5 years practice experience, including in customer/vendor contracting, sourcing and or procurement contracting, US Real Estate leases and general US corporate secretarial matters.
  • Experience structuring, drafting, analyzing and negotiating a wide range of sales & vendor contracts, including service agreements, master agreements & NDA's.
