- Corporate securities (all of the public company securities reporting);
- Corporate governance (assistant secretary to the BOD) - agendas, materials, presence and minutes and resolutions
- Investor relations (part of extended group that outreaches to our largest investors)
- Support ESG activities including biannual conversation with stewardship teams of our largest shareholders
- Ownership related to global M&A and investments (execution to integration)
- Partner with the treasury department to advise on debt offerings and other cash management activities.
- Advise on Adobe’s Executive compensation plan/design (partner with VP Total Rewards and equity finance leader)
- Advise Adobe Legal Aviation function
- Real estate, facilities and construction (all legal work for this globally leasing and new construction)
- Responsible for all of our global subsidiaries and tax structures in ~40 different countries; support for treasury and corporate finance (capital structure and capital markets)
- Manage an organization of 20+ employees, including Director through Senior Director level leaders
- A JD from a leading law school/university, and at least 12 years of relevant experience at a top law firm or in-house legal department, specifically in federal securities law and corporate governance; preferably with additional experience in contracts, product counseling, or intellectual property.
- Superior relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators. A proven track record of building and maintaining relationships with other functional leaders and the business
- A strategic problem-solver with excellent legal and business judgement. Impeccable integrity and ethical behavior with a strong moral compass and a commitment to transparency
