
Senior Associate - M&A, Corporate & Securities

- Handle varied public and private company transactions: reviewing and preparing draft agreements, due diligence and tracking/ overseeing signings and closings.
- Conduct and oversee due diligence and risk assessments for mergers, acquisitions, and joint ventures.
- Provide strategic legal advice to clients on corporate governance and securities law matters.
- Collaborate with cross-functional teams to ensure successful transaction execution.
- Maintain up-to-date knowledge of legal and regulatory changes impacting corporate and securities law.
- Represent clients in negotiations, ensuring their interests are safeguarded throughout transactions.
- On occasion, assist with general corporate matters, including entity formation and compliance, IPOs and capital markets engagements.
- Provide mentorship and guidance to junior associates.
- A Juris Doctor (JD) degree from an accredited law school.
- Admission to the New York State Bar in good standing.
- Proven expertise (6-9 years) in mergers and acquisitions, corporate law, and securities law within mid-size or big law.
- Strong attention to detail, multitasking, drafting, negotiation, and analytical skills.
- Ability to manage multiple projects and deadlines effectively.
- Excellent communication and interpersonal skills.
