- Partnering with Genomics Medicine teams, with primary focus on the US, Canada and LATAM regions to negotiate strategic commercial, direct sourcing, R&D and services contracts, complex collaborations, and support manufacturing site matters to help drive the business forward. This includes supporting negotiation of global master sales agreements and/or distribution agreements with large customers and/or distributors and collaborating with Legal and Compliance colleagues, Intellectual Property team members and other relevant stakeholders in support of Genomics Medicines business priorities.
- Providing Legal & Compliance training to the Genomics Medicine business teams to help them identify and navigate risks that may arise during the course of doing business.
- Applying legal and business judgment to proposed deals, relationships and other issues requiring legal or compliance attention. This includes drafting, reviewing and negotiating strategic business agreements and transactions, as well as work with business development in structuring, negotiating and closing of complex acquisitions.
- Advising the business on compliance, privacy, antitrust, quality/regulatory and advertising / promotional matters, as well as supporting on HR matters as needed.
- Managing/ supporting the management of disputes and litigation, while managing outside counsel to define budgets when brought in to assist.
- JD with excellent academic credentials from an accredited law school. Active bar membership in at least one US jurisdiction. Minimum of 8 years post qualification experience.
- Significant business law experience at a large law firm or corporate in-house legal department, including but not limited to drafting, negotiating and closing complex business transactions in a regulated environment (i.e. purchase, sale and distribution agreements), preferably with experience gained in the healthcare or life sciences industry.
- Strong project management and prioritization skills, ability to effectively manage multiple tasks and priorities in a fast-paced environment.
- Strong analytical skills with demonstrated experience identifying and resolving legal issues quickly and effectively and ability to make on the spot risk calls.
- Outstanding written and verbal communication skills, including the ability to communicate with senior management while also demonstrating the ability to work across all levels of the organization including multiple functional and business stakeholders.
