Direct Counsel has partnered with an AmLaw 200 firm seeking a Corporate Associate with 4+ years of experience to join its Corporate/Non-Profit Business Unit in Detroit, MI.The ideal candidate will have prior experience advising tax-exempt entities and nonprofit organizations and will support clients throughout the full life cycle of a nonprofit.Key ResponsibilitiesAdvise on board governance mattersConduct legal entity formation analysis & filingsDraft templates and prepare IRS exemption applicationsProvide guidance on unrelated business taxable income (UBTI)Draft and negotiate contractsPerform state and federal tax-specific research(Preferred, not required) Advise on charitable giving and planned givingQualificationsMinimum 4 years of corporate law experience , with a focus on nonprofits/tax-exempt entitiesLicensed to practice law in MichiganStrong academic credentialsExcellent interpersonal, verbal, and written communication skillsDetail-oriented with a strong work ethicClient-facing experience and responsiveness to client needsCompensation & BenefitsSalary range: $150,000 – $190,000 annually (based on full-time schedule, experience, and qualifications)Bonus: Eligible for annual discretionary bonusBenefits: Comprehensive package including health insurance (with optional HSA/FSA), dental, vision, life insurance, short- and long-term disability, 401(k), vacation, sick time, parking/public transportation allowance, and employee assistance program
