OverviewAs part of the Office of General Counsel, the Assistant General Counsel provides extensive and complex legal services to a Fortune 500 international utility company, with one or more major areas of specialization. The Assistant General Counsel is recognized as having mastered the Company's strategic business values and objectives and has a highly developed expertise in one or more specialized areas of knowledge, which are both technically complex and central to the overallmission of the Company. The Assistant General Counsel may also have an expert knowledge of rules and regulations and guidelines governing the industry. The Assistant General Counsel influences the management, functional strategy, development, and direction of the business and may lead multidisciplinary projects or initiatives. The Assistant General Counsel must possess the ability to present complex legal issues to, and influence decisions made by, senior management ofthe Company by analyzing such issues, offering meaningful direction, and making recommendations regarding the course of action to take. The Assistant General Counsel must be able to take necessary actions to identify, evaluate, and mitigate legal risk exposure of the Company and its affiliates, to explain and balance risks and rewards of a particular course of action, and to provide proactive legal advice to enable the Company and its affiliates to succeed. The Assistant General Counsel musteffectively manage outside counsel and personally handle Company matters of the most serious nature and risk, which are high-impact, legally and politically complex, and sometimes sensitive/confidential in nature. The Assistant General Counsel must show initiative and advanced people skills in team problem-solving situations, and exhibit sound business sense. In appropriate circumstances, the Assistant General Counsel may have supervisory responsibilities. In those instances, the Assistant General Counsel must be able to supervise effectively one or more lawyers to ensure that they are providing timely and high-quality legal services to clients and the Company in their areas of responsibility.
Responsibilities
- Be recognized as a thought leader in support of the business, bringing specialized expertise to help inform the business decision-making process.
- Effectively manage multi-disciplinary projects with business lines as well as other service departments of the Company as required.
- Be aware of and address all legal issues in areas of expertise for business units represented.
- Effectively and directly interact with and advise senior management on an ongoing basis in areas of expertise.
- Identify and analyze legal issues, and present clear, well-reasoned recommendations to clients reflecting an understanding of the Company's business.
- Formulate and deliver timely and high-quality legal opinions to clients.
- Provide timely and high-quality legal research and writing.
- Provide timely and high-quality review, negotiation and drafting of complex legal documents when area of specialization requires.
- Provide effective and competent representation of the Company before courts and agencies when area of specialization requires.
- Identify and recommend new outside counsel as needed, and provide effective and competent management of the work of outside counsel in areas of specialization including responsibility for budget issues on projects and matters in areas of responsibility.
- Contribute substantially to the development and implementation of sound Company policies in areas of specialization and in new business ventures.
- Effectively communicate with others at all levels of the organization, including clients and senior management.
- Adhere to the Company's corporate vision, values, and high ethical requirements and standards of conduct.
- Work to ensure corporate compliance with all laws, regulations and corporate policies in areas of specialization and supervision.
- Contribute substantially to the development of good relations with client departments while fostering the purpose of the Office of General Counsel as contributors to the overall goals of the Company.
- Demonstrate ability to multi-task and work well under significant business pressures.
- Prepare and present topics in area of specialization to the department and other areas of the Company as needed, including to senior management.
- In appropriate circumstances, exercise management supervision over one or more lawyers, including responsibility to oversee and manage their performance, development and professional growth. This includes the ability to lead a small group of lawyers organized along lines of legal practice areas or business units.
- Physical presence in the office/on-site to engage in face-to-face interaction and coordination of work among direct reports and co-workers.

3. At least three (3) years of training at a well-recognized, prominent law firm.
4. Knowledge of and experience advising companies in the energy and utility business.
