
Corporate & Securities Associate (3rd-5th year)

- Advise clients on initial public offerings (SPAC experience highly desirable), secondary offerings, resales, registered direct offerings and other sales of securities.
- Draft, review and negotiate registration statements, private placement memorandums, purchase agreements, warrant agreements, convertible notes, registration rights agreements and other related documents.
- Draft and review comfort letters, circle ups, legal opinions and certificates.
- Work worth issuers, investment banks, auditors and financial advisers to execute deals.
- Share ideas and participate in deal structuring meetings.
- Communicate with the SEC, FINRA and Stock Exchange to obtain required clearances.
- Draft key compliance documents for NYSE and NASDAQ filings.
- Prepare and review public disclosures and securities filings: proxy statements, Forms 10-K, 10-Q, 8-K and Section 16 filings.
- Stay informed of changes in securities laws and regulations impacting clients.
- Assist in mentoring junior associates as needed.
- Juris Doctor (JD) degree from an accredited law school
- Admission in good standing to the New York State Bar.
- Strong understanding of corporate and securities law (ideally 2nd-5th year with relevant experience).
- SPAC/ IPO experience beneficial.
- Excellent drafting, negotiation, and analytical skills.
- Ability to manage multiple priorities and work under tight deadlines.
- Proactive approach to problem-solving and client service.
