OverviewThe role of the Assistant Corporate Counsel, Legal Compliance Lead for Gallagher Benefit Services, Inc. (“GBS”) is intended to oversee the full lifecycle of compliance needs for GBS. This requires developing a strong understanding of the business and the legal and regulatory framework within which GBS operates and using that knowledge to identify and prioritize risks, create written policies, guidelines, and standards, and helping to effectively communicating those to the organization. The Assistant Corporate Counsel, Compliance enforces standards, conducts risk assessments, monitors, audits, and reports out to appropriate business departments. This role also helps develop, lead and maintain the overall compliance program for the organization and provide guidance to the various functional legal areas, including those relating to company contracts and other transactional matters (including mergers & acquisitions activity), broker compensation and other billing matters, information technology issues and similar matters.
How you'll make an impact
  • Serve as legal adviser on regulatory issues that impact GBS, including those involving ERISA, HIPAA, Insurance Licensure, Client Fee Arrangements/Contracts and relationships with M/WBE's
  • Develop, oversee and administer the compliance capabilities, including a review of existing policies, procedures and standards, identify areas of continuous improvement and conduct regular reviews.
  • Participate in due diligence and integration efforts for companies GBS acquires and advise GBS business leaders on compliance or integration matters related to those acquisitions
  • Manage, implement and enforce, on behalf of GBS, the Arthur J. Gallagher & Co. (AJG) corporate compliance policies, procedures and training, and otherwise work closely with AJG’s Global Chief Compliance Officer in connection with any required compliance initiatives.
  • Monitor and interpret new regulations or law changes that impact the business and develop appropriate action plans and strategies to accommodate such changes.
  • Establish and cultivate direct relationships with key regulatory bodies.
  • Review and respond to client contract issues, questionnaires, audits and RFP's related to compliance matters.
  • Assist in response to regulatory, agency and governmental inquiries.
  • Participate as needed with internal investigations.
  • Periodically audit and measure the compliance program's effectiveness.
  • Serve as GBS’ representative on the AJG Risk Committee and Privacy Committee.
  • Report all findings and escalate issues to the Divisional General Counsel as appropriate.
About YouRequired:
  • Bachelor’s degree.
  • J.D. Degree. Must be licensed to practice law.
  • Mimimum 8 years hands-on experience in a compliance and regulatory function.
Preferred:
  • Experience with employee benefits and ERISA.
  • Working knowledge of the Insurance industry.
  • Prior experience designing and building a similar functional capability either as the lead or key participant.
  • Understands and integrates details of the business to ensure the compliance implementation is workable across functions.
  • Prior experience working in a highly regulated environment - such as insurance, financial services or healthcare.
