Baxter is in the process of working towards an intended spin-off date of July 2024, or earlier.Position OverviewThis position is part of the Ethics and Compliance (E&C) group, within the Legal Department, and will support the Kidney Care business, reporting to the Associate General Counsel, E&C Investigations, Governance, and Operations. The Senior Counsel will conduct and participate in internal investigations globally and will help manage the E&C internal investigations program. This position has two direct reports - the E&C investigations leads for the APAC and EMEA regions, who are based in the respective regions.The candidate selected for this role will:
  • Conduct complex internal investigations related to potential employee misconduct in violation of Baxter’s Code of Conduct and/or the laws and regulations of the United States and other countries in which Baxter operates, including anti-corruption, fraud, and other types of corporate misconduct.
  • Have responsibility for internal investigations in the Americas region and work with other team members on internal investigations in the APAC and EMEA regions.
  • Manage the triage of all allegations and reports raised to E&C, including via the Company’s E&C Helpline, colleagues, or other means.
  • Collaborate with and manage outside counsel, as appropriate.
  • Manage and mentor team members; direct reports are expected to include the investigations leads for the APAC and EMEA regions, who are based in the respective regions.
  • Collaborate with E&C team members, and IT Security / Cyber, Corporate Audit, Internal Controls, Labor & Employment, and other teams to help identify and triage risks that may require investigation or other handling.
  • Collaborate with and provide guidance to E&C team members and colleagues in other functions, in the United States and abroad, in the course of internal investigations and other projects.
  • Assist with E&C due diligence stemming from the Company’s M&A activity.
  • Perform special E&C-related projects on an ad hoc basis.
  • Contribute to the refinement, development, and documentation of investigations-related and other compliance processes to enhance the operational efficiency of the E&C Investigations function and, in turn, enhance the implementation and execution of Baxter’s global Ethics & Compliance Program.
Education & Experience
  • Juris Doctorate (J.D.) from an accredited law school (if law degree from outside United States, add an LLM from an accredited U.S. law school).
  • 9+ years of experience relevant to the position’s responsibilities, preferably a mix of private practice and in-house roles.
  • Experience conducting internal corporate investigations of potential violations of legal/regulatory requirements and of corporate requirements/expectations, focusing on activities both in and outside the United States; experience managing investigation workstreams and external/internal resources (counsel, consultants, etc.).
  • Experience managing others.
  • Knowledge of and experience with anti-corruption, antitrust, and trade compliance laws required; experience in or exposure to interactions with U.S. or foreign enforcement or regulatory agencies preferred.
  • Knowledge of and experience with pharmaceutical and medical device regulation, including product registration, licensing, and promotion, preferred.

  • Fluency in English is required; Spanish or other language capabilities are preferred.

At Baxter, we are committed to equitable pay for all our employees, and we strive to be more transparent with our pay practices. To that end, this position has a salary range of $216,000 to $324,000 and also includes an annual incentive bonus and equity target The above range represents the expected salary range for this position.
